CODE OF ETHICS

1. Obeying the Law

We respect and obey the laws, rules and regulations applicable to the sector.

2. Integrity of Recording and Reporting Our Financial Results

We maintain accurate and complete financial and other business records and communicate full, fair, accurate, timely and understandable financial results and other material information. Our unique system of internal controls is designed to preserve the integrity of our records and information.

3. Respecting Human Right

We respect human rights and require all stakeholders to do the same.

We are committed to producing quality products and services that bring value to everyone.

5. Competing Ethically

We gain our competitive advantage through superior performance. We do not engage in unethical or illegal trade practices.

6. Respecting Diversity and Fair Employment Practice

We are committed to respecting a culturally diverse workforce through practices that provide equal access and fair treatment to all employees on the basis of merit. We do not tolerate harassment or discrimination of any kind at the workplace.

7. Avoiding Conflicts of Interest

We avoid relationships or conduct that might compromise judgment or create actual or apparent conflicts between our personal interests and professional excellence at Quality Power. We do not use our position with Quality Power to obtain improper benefits for others or ourselves. We do not engage in activities or enter into relationships that compete with Quality Power.

8. Protecting Assets and Information

We use Quality Power property, information, and opportunities for Quality Power’s business purposes and not for any unauthorized use or conduct. We properly maintain the confidentiality of information and employee data entrusted to us by Quality Power or others.

9. Acting With Integrity

We do not offer or accept bribes, kickbacks or inappropriate gifts or entertainment. We engage in business practices strongly consistent with our ethics and values.

10. Selling to Governments

We comply with the special laws, rules, and regulations that relate to government contracts and relationships with government personnel.

11. Political Contributions

We do not make contributions on behalf of Quality Power to political candidates or parties even where lawful.

Quality Power’s Code of Conduct for Suppliers sets forth minimum workplace standards and business practices expected of any Supplier doing business with Quality Power, consistent with our company’s values.

These requirements are applicable to suppliers of Quality Power, its affiliates, and subsidiaries globally

CODE OF CONDUCT

1. Compliance with Laws
Supplier’s personnel and operations shall operate in full compliance with the laws of their respective countries and within all other applicable laws, rules, and regulations. Additionally, Suppliers will ensure that products, services and shipments for Quality Power adhere to all applicable international trade compliance laws, rules, and regulations.

2. Labor
Suppliers shall uphold the human rights of workers and treat them with dignity and respect.

a) Suppliers shall employ only workers who meet the applicable minimum legal age requirement, except that in no event shall Supplier employ any person under the age of 16, even if local law permits otherwise. Suppliers shall also comply with all other applicable child labor laws according to local regulations.

b) Suppliers shall not use any indentured or forced labor, slavery or servitude.

c) Suppliers plants shall set working hours, wages, and over-time pay in compliance with all applicable laws. Workers shall be paid at least the minimum legal wage or a wage that meets local industry standards, whichever is greater.

d) Suppliers shall treat employees with dignity and respect and will not engage in or permit corporal punishment, threats of violence, or other forms of harassment whether based on gender, race, color, religion, ethnicity, age, sexual orientation, national origin, disability, or any other legally protected characteristic.

e) Suppliers shall employ workers on the basis of their ability to do the job, not on the basis of their personal characteristics or beliefs (including race, color, gender, nationality, religion, and age, maternity or marital status).

f) Supplier shall respect employees’ right to join or not join any lawful organization, including trade unions and works councils, and shall comply with all applicable local and national laws pertaining to freedom of association and collective bargaining.

3. Health & Safety
Quality Power is committed to being a global leader in safeguarding the health and safety of our employees and protecting the environment.

a) While suppliers are on-site at a Quality Power location or at an Quality Power customer location on behalf of Quality Power, suppliers shall comply with Quality Power ’s Safety Policy, EHS handbook, and any and every site-specific requirements.

b) Suppliers shall ensure a safe work environment and avoid physical and chemical hazards through proper design, engineering and administrative controls, preventative maintenance, and safe work procedures as well as on-going safety training.

c) Suppliers shall provide personnel with appropriate individual protective equipment where hazards cannot be adequately controlled by other means.

d) Suppliers shall provide and properly maintain physical guards, interlocks, and barriers where machinery presents an injury hazard to personnel.

e) Suppliers shall minimize the impact of emergency situations through the implementation of emergency plans and response procedures.

4. Environment
Environmental considerations are vital to our business practices and the production of world-class products. Suppliers are required to comply with all applicable environmental laws and regulations.

a) Suppliers shall maintain all required environmental permits and registrations and follow operational and reporting requirements of such permits.

b) Suppliers shall comply with regulated substance specifications and with any applicable laws and regulations prohibiting or restricting the use or handling of specific substances.

c) Suppliers shall endeavor to reduce or eliminate solid waste, wastewater, and air emissions by implementing appropriate conservation measures in their production, maintenance, and facility processes.

d) Suppliers shall manage, control, treat and/or dispose of non-hazardous solid waste, wastewater, and/or air emissions generated from operations as required by applicable laws and regulations, before discharge.
